The investigation concerns allegations that certain statements issued by the Company between August 11, 2010 and May 25, 2011, regarding CSC's business, operations and financial prospects were materially false and misleading. Specifically, the investigation concerns whether CSC failed to disclose, among other things: (i) that the Company's historical and current financial results were false and in violation of the Company's internal accounting policies and Generally Accepted Accounting Principles; (ii) that the implementation of the Company's software at the United Kingdom's National Health Service (NHS) was experiencing severe difficulties, rendering the Company unable to meet certain contractual deliverables and putting the entire contract with NHS at risk of termination; and (iii) that the Company was experiencing substantial weakness in demand for its products and services, and new bookings for such were declining.
