The Annual General Meeting of Tripep AB

STOCKHOLM, Sweden - (BUSINESS WIRE) - Annual Report and discharge from liability The company's Income Statement and Balance Sheet were adopted and the Board of Directors and the Chief Executive Officer were discharged from liability for the financial year 2009.

Election of Board of Directors and Chairman of the Board and compensation to the Board Thomas Lynch, Anders Vahlne and Matti Sällberg (all re-elected) and professor William Hall were appointed to the Board of Directors.

Thomas Lynch was re-elected as Chairman of the Board.

The Meeting resolved that Thomas Lynch and William Hall shall each receive a director's fee of 100,000 SEK.

Authorisation to issue shares, convertibles debentures and warrants The Meeting authorized the Board of Directors to resolve, at one or more occasions until the next Annual General Meeting and with pre-emption right for the shareholders, to issue new shares, convertible debentures and/or warrants with consideration in cash and/or in kind or by set-off or otherwise with conditions.

New articles of association The Meeting resolved to adopt new articles of association, whereby the company's name is changed to ChronTech Pharma AB and the share capital shall be not less than 2.1 million SEK and not more than 8.4 million SEK and the number of shares shall be not less than 70 million and not more than 280 million.

Tripep (STO:TPEP) develops the therapeutic DNA-vaccines ChronVac-C and ChronVac-B drugs against chronic hepatitis C virus and hepatitis B-virus infections, i.e. chronic infections with jaundice causing viruses which can lead to liver cirrhosis and liver cancer.
