The complaint asserts claims against PFF and its officers and directors for
violations of the federal securities laws. The complaint alleges that
defendants issued materially false and misleading statements regarding the
Company's business and financial performance, including concealing the
extraordinarily high level of impaired loan assets on PFF's balance sheet.
As a result of defendants' false statements about PFF's financial health,
PFF's stock traded at inflated prices -- as high as $35.45 per share --
during the Class Period. Regulators closed PFF on November 21, 2008 and
thereafter it was taken over by U.S. Bancorp. As a result, PFF's stock
price dropped to $0.01 per share, causing stockholders to suffer a complete
loss in their investments.
