Pansoft Company Limited Initial Public Offering of 1,200,000 Common Shares Priced at $7.00 Per Share

A registration statement relating to this offering was filed with and declared effective by the Securities and Exchange Commission on August 12, 2008. Pansoft issued placement agent warrants to A&S to purchase up to 120,000 common shares exercisable at $8.40 per share for a period of four years following the closing of the initial public offering.
