Celebrate Express, Inc. Completes Merger
KIRKLAND, Wash., Aug. 29 /PRNewswire-FirstCall/ -- Celebrate Express, Inc.
(Nasdaq: BDAY) today announced that it has completed the merger with a
subsidiary of Liberty Media Corporation.
At the special meeting of Celebrate Express shareholders held on August
28, 2008, votes were received for approximately 79% of the eligible shares,
and the proposal to adopt the merger agreement and merger received a favorable
vote from approximately 79% of the outstanding shares.
On August 29, 2008, articles of merger were filed with the office of the
Secretary of State forWashington, and Celebrate Express became an indirect
wholly-owned subsidiary of Liberty Media Corporation.
Celebrate Express also reported that it has filed for delisting of its
stock with NASDAQ and has filed with the SEC for deregistration under the
Securities Exchange Act of 1934.
Celebrate Express shareholders of record on August 29, 2008 will receive
instructions from American Stock Transfer & Trust Company (AST), the paying
agent for the merger, that will explain how to surrender stock certificates in
exchange for the merger consideration of $3.90 per common share. Shareholders
with questions regarding this process may contact the AST Shareholder Services
department at 1-877-248-6417 starting on September 4, 2008.
