Americo Completes Acquisition of Financial Industries Corporation
Financial Industries Corporation (FIC)
(PINKSHEETS: FNIN) announced today that yesterday Americo Life, Inc.
(Americo) completed the acquisition of FIC through the merger of an
indirect, wholly-owned subsidiary of Americo with and into FIC.
As previously announced, FIC stockholders are receiving $7.25 per share in
cash for their shares of common stock of FIC. The paying agent for the
merger will send each FIC registered shareholder a letter of transmittal
and instructions explaining the procedure to surrender certificates
representing shares of FIC common stock in exchange for the merger
consideration.
FIC, through its Investors Life Insurance Company of North America
subsidiary, administers a closed block of individual life insurance and
annuity products. Americo Life, Inc. is a financial services holding
company whose subsidiaries are primarily engaged in providing life
insurance and annuity products.
