Thomson's Ordinary Shareholders' Meeting Approves Resolutions
Paris, May 12, 2006 - Thomson's Annual Shareholders' Meeting was held today, chaired by Frank Dangeard, the Group's Chairman & CEO, in the presence of the Board of Directors and of Thomson's senior management.
All resolutions submitted to the Shareholders' Meeting were approved*, including the distribution of a dividend of EUR 0.30 per share to be paid as from July 11, 2006.
During the Meeting, Frank Dangeard and other Executive Committee members: Julian Waldron (Senior Executive Vice-President and Chief Financial Officer), Didier Trutt (Senior Executive Vice-President and Chief Operating Officer), Jean-Charles Hourcade (Senior Executive Vice-President and Chief Technology Officer), Eric Bachellereau (Executive Vice-President, Human Resources) and Marie-Ange Debon (General Secretary) presented Thomson's 2005 results and focused on the Group and the implementation of the Two-Year Plan realization.

*Shareholders approved resolutions covering:
- the parent-company financial statements and consolidated financial statements for the financial year ended December 31, 2005, the appropriation of net income and a distribution of EUR 0.30 per share;
- the ratification of a director's co-optation, Mr. Remy Sautter in replacement of Mr. Igor Landau who resigned; and renewal of the term of office of a director, Mr. Paul Murray;
- the authorization to the Board of Directors to allow the Company to purchase its own shares;
- the appointments of Statutory Auditors, the term of office of the previous ones having expired, KPMG Audit has been appointed as Permanent Statutory Auditor and "SCP Jean-Claude Andre et Autres" has been appointed as Substitute Statutory Auditor, both for duration of six fiscal years;
- the delegation to the Board of Directors of powers for fulfilling legal formalities.
