GCO Announces the Acquisition of SysTrax

Omnitech Consultant Group Inc. ("GCO") (TSX VENTURE:GCO) is pleased to announce that GCO will proceed, in the next few days, with the acquisition of all of the issued and outstanding shares of Logiciel SysTrax Inc. ("SysTrax"). The transaction is conditional upon approval of regulatory authorities.

With this acquisition, GCO strengthens its Supply Chain Optimization business unit with the addition of a production management and enterprise resource planning (ERP) software. This software improves manufacturing and production efficiency.

On July 15, 2005, GCO established a business partnership with SysTrax' shareholders in order to commercialize and implement the software with the objective to acquire it at a later date. The software, renamed SIIM, will replace the Olympic ERP software acquired in September 2003, which required upgrades costing $650,000. By replacing Olympic by SIIM, GCO will save 8 months of analysis and programming. However, GCO will continue to support Olympic for its current customers.

According to the terms and conditions of the closing agreement, the price for this acquisition is $580,000, payable as follows: $150,000 cash already paid as an advance and the issuance of 505,822 common shares of GCO at a presumed price of $0.85 per share for a total consideration of $430,000. The three shareholders of SysTrax will become employees of GCO.

Since the establishment of the business partnership, GCO carried out sales and services of integration connected to the SIIM software which amounted to approximately 500 000 $. The last financial statements of SysTrax preceding the July 15, 2005 agreement showed assets of a value of $104,233, liabilities of $71,709 and shareholders' equity of $32,524.
