Cord Blood America Announces Acquisition of RainMakers International, Inc.

Cord Blood America, Inc. ,
parent company of Cord Partners, a family cord blood preservation company,
announced today that it has acquired RainMakers International, Inc., of Los
Angeles, CA. RainMakers International provides direct response advertising
for family-based products and services. Details of the acquisition are
below.
This acquisition adds the RainMakers International property to the family
of Cord Blood America companies. Joseph Vicente, a Director of Cord Blood
America, will become President of RainMakers International, Inc.
Matthew L. Schissler, Chairman & CEO of Cord Blood America, states, "Adding
RainMakers' marketing knowledge and developing our own in-house marketing

RainMakers International commenced operations in March 2001.

About the acquisition of RainMakers International
On February 28, 2005, Cord Blood America, Inc. acquired all of the issued
and outstanding shares of common stock of Career Channel, Inc., also known
as RainMakers International, Inc. ("RainMakers International"). RainMakers
International is engaged in the advertising business.
The purchase price for all of the issued and outstanding shares of
RainMakers International was 3,656,000 shares of common stock of Cord Blood
America, Inc. Matthew L. Schissler, the Chairman of the Board and Chief
Executive Officer of Cord Blood America, Inc., and Stephanie A. Schissler,
the President and Chief Operating Officer of Cord Blood America, Inc.,
were, prior to the acquisition, the controlling shareholders of RainMakers
International.
The members of the Board of Directors of Cord Blood America, Inc.,
excluding Mr. Schissler, determined the purchase price for the shares of
common stock of RainMakers International based upon an analysis of various
financial criteria of comparable publicly traded advertising companies,
including multiples of revenues and net income. The members of the Board
of Directors of Cord Blood America, Inc., excluding Mr. Schissler, then
determined the number of shares of common stock of Cord Blood America, Inc.
to be issued based upon the average of the closing bid and ask prices of
the shares of common stock of Cord Blood America, Inc. on February 25,
2005.
